As the details of the Joint Venture are fleshed out and we move to further contractual arrangements with Nations Roof we hope to drive further shareholder value on the Stock Market.

As fellow shareholders we at the Company understand and share your disappointment with the fluctuating Sunseeker Energy Holding AG stock price. We do believe that as we continue to implement our business plan and develop markets, product sales and distribution, the equity markets will come to identify and recognize the long term value and product capability that Sunseeker holds, and its value to both users of the Sunseeker products, and investors in the Company.

Sunseeker Energy Holding AG

In April Sunseeker completed, filed and had accepted Patent documentation to move the company from Patent Applied For to Patent Pending status.

Additionally Sunseeker completed Patent documentation that expanded the company’s Patent applications from one to additionally cover solar transducer, sun tracking, and power management and intermediate energy storage.

In May, having further investigated the various groups who were met in the trip to the USA in March, a team comprising of Bill Abbott, Colin MacAskill, Antony Howard and electronics engineer Andrew Leech together with Steve Brown returned to the USA with a demonstration G3 Unit and met three groups we had selected as possible manufacturing, distribution and installation partners.

As a result of the very successful demonstration of the G3 Unit and meetings in Atlanta and Charleston we signed a Memorandum of Understanding in June with Nations Roof to actively form a partnership to not only distribute our product in the USA but to also establish a manufacturing centre located in one of the southern states of the USA.
Nations Roof is America’s 11th largest roofing solutions supplier and is much experienced in green roofing and solar installations. (Refer www.nationsroof.com for more information about the company).

With 18 branches and 600 employees we determined that Nations Roof would be an ideal partner for Sunseeker Energy’s USA program.
The Directors of Sunseeker Energy Holding AG are satisfied that the Joint Venture with Nations Roof to build such a manufacturing centre will allow Sunseeker Energy to compete at the forefront of the American solar energy market.

Sunseeker Energy North America Inc will enter into a License Agreement with Sunseeker, enabling that entity to use the Sunseeker Intellectual Property for the North American geographic region. Sunseeker Energy North America Inc will contribute the licensed rights into the joint venture with Nations Roof, and will also be responsible for expanding the interests of Sunseeker within the USA. Sunseeker Energy North America Inc is presently undertaking a capital raising in the United States of America, on completion of which Sunseeker Energy Holding AG will be the majority shareholder.

In line with the MOU signed with Nations Roof in June the Company will issue a Press Release to the market simultaneously with this Shareholder Newsletter.

In March a Sunseeker Energy team consisting of the Chairman Bill Abbott CEO Colin MacAskill, and Steve Brown (the North American based director of Sunseeker Energy North America), conducted a road show through the USA both meeting and assessing suitable partners for our venture into that large market.

The group met a wide range of interest groups in Las Vegas, Dallas, Charleston and Miami each of whom were either interested in manufacturing, distributing, installing the G3 Units or investing in Sunseeker.

Since the election of the current Administration solar energy in the USA is very much politically driven and we placed a high priority on the selection of a suitable partner to facilitate our entry into that strategic market.

Sunseeker North America Inc has been registered as a wholly owned subsidiary of Sunseeker Energy Holding AG to be our vehicle to push into the United States.

Subsequently in April we announced the signing of a Memorandum of Understanding with Nations Roof LLC, a company based in Atlanta.

As a part of our move to manufacture we have formed a strategic relationship with Manufacturelink, one of the world’s best practice manufacturing experts.

In May we completed our Manufacture Packs and made them ready to issue to suppliers/Licensees for our Generation 3 (V3.0). We are currently actively investigating competitive manufacture in multiple markets to complement the U.S. initiative (detailed below), with Australia now firmly emerging as an area where manufactured product can compete on both cost and quality.

We remain committed to the initial Chinese manufacturing operation, with each satellite manufacturing effort helping to meet demand at both country of installation and the wider market of Sunseeker products.
